Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Agentify website at agentify.so (the "Website"), the Agentify dashboard and API operated by us (the "Hosted Service"), the Agentify software when deployed in your own infrastructure (the "Software"), and any related services (together, the "Service"), provided by Houdart CommV, a limited partnership (commanditaire vennootschap) organized under the laws of Belgium, registered at Kerkstraat 20, 9900 Eeklo, Belgium, VAT/enterprise number BE0782.382.501 ("Agentify", "we", "us").

By accessing the Website, creating an account, deploying the Software, or entering into an order with us, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

1. The Service

Agentify turns an OpenAPI specification into a working AI agent, through a visual flow builder, classifiers, model routing, webhooks, and a playground. You can use it in two ways:

  • Hosted Service. We operate the dashboard, API, event collector, and database, and you access them through your account. This is the default way of using Agentify.
  • Self-hosting. With the self-hosting add-on, you deploy the Software into your own infrastructure under a signed license key. We may assist in provisioning your deployment, but the deployment, and any data that flows through it, remains within your infrastructure and under your control.

2. Accounts and license keys

The Hosted Service requires an account; self-hosting requires a license key. You are responsible for maintaining the confidentiality of your credentials and license keys, and for all activity that occurs under them. You must provide accurate account information and notify us promptly of any unauthorized use. License keys are tied to the entitlements you purchase (for example, the number of agents, seats, or classifiers, single sign-on, or white-labeling) and, where applicable, to the build date of the Software you run.

3. Fees and billing

Pricing for Agentify (per-agent and per-seat fees, billed monthly or yearly, the yearly self-hosting add-on, startup and enterprise pricing) is described on our pricing page and is subject to change on notice for future billing periods. Fees exclude usage of third-party model providers you configure yourself, which is billed to you separately and directly by that provider. Once available, subscription payments will be processed through our payments provider, Polar; until then, billing is arranged directly with us by invoice or as otherwise agreed in your order. Fees are exclusive of applicable taxes unless stated otherwise. We may suspend the Service if fees remain unpaid after notice.

4. Right to use and license grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right to access and use the Hosted Service, and, if you have purchased self-hosting, a non-exclusive, non-transferable license to install and use the Software within your own infrastructure, in each case for the number of agents, seats, and features corresponding to your plan. You may not: (a) reverse engineer the Software except to the extent such restriction is prohibited by law; (b) redistribute, resell, or sublicense the Software or the Service to third parties; (c) remove or obscure any proprietary notices; or (d) use the Service to build a competing product. We own all right, title, and interest in the Software, the Hosted Service, the Website, and our trademarks.

5. Your content and data

You retain all rights to the agent configurations, OpenAPI specifications, credentials, conversations, and other content you create or process using the Service ("Customer Content"). You grant us the right to host, store, and process Customer Content solely as needed to provide the Service to you.

Hosted Service. We process Customer Content on your behalf and on your instructions, as your processor, as described in our Privacy Policy. You are responsible for the content you upload, for the services your agents connect to, for the end users who interact with your agents, and for having the rights and legal basis needed for that processing. If you need a data processing agreement, contact us.

Self-hosting. You are the controller for all data processed within your own deployment, and we have no access to it, except for the message monitoring feature below.

Message monitoring. Message monitoring is an optional feature that sends the conversation threads and messages of an agent to our event collector so you can review them in the dashboard. We retain monitored messages for 30 days. You enable it per agent, after confirming that the data will be shared with us, and you may instead point it at an event collector you operate yourself.

6. Third-party model providers and services

Your agents send prompts and conversation content to the model provider configured for them. On the Hosted Service, new agents start with a default model running on our own model-provider account; you may replace it with a provider and credentials of your own at any time. When you configure your own provider (for example OpenAI, Anthropic, Microsoft Azure OpenAI, or a custom endpoint), that data is sent under your own credentials and is subject to that provider's terms, and we are not a party to that processing. The same applies to any service your agents call through your OpenAPI specifications.

7. Acceptable use

You agree not to use the Service to: violate applicable law; infringe the intellectual property or privacy rights of others; transmit malware or attempt to gain unauthorized access to our systems or to services your agents are not authorized to call; send unsolicited communications; or interfere with the integrity or performance of the Service. We may suspend access to the Service if we reasonably believe these Terms have been violated.

8. Availability and support

We aim to keep the Hosted Service available at all times and publish its current status on our status page, but we do not guarantee uninterrupted availability and may perform maintenance, with notice where practicable. Support is provided at the tier corresponding to your plan. Service levels, if any, are agreed only in a written enterprise order.

9. Warranties and disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs generated by any model provider will be accurate, complete, or fit for your intended use, and you are responsible for validating outputs before relying on them.

10. Limitation of liability

To the maximum extent permitted by law, Houdart CommV shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service, even if advised of the possibility of such damages. Our total liability arising out of or related to these Terms shall not exceed the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

11. Term and termination

These Terms remain in effect for as long as you use the Service. You may terminate your subscription at the end of the current billing period. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice. Upon termination, your right to use the Hosted Service ends and we delete your Customer Content within 30 days, except where we must retain it to comply with a legal obligation; on request before that date we will provide an export of your data. For self-hosting, your license to use the Software ends, though previously issued license keys remain valid for builds released before their expiry date.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "last updated" date below and, where appropriate, notify you directly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of Belgium, without regard to its conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ghent, Belgium.
